Terms of Service

Effective Date: April 23, 2026

By accessing and using VFlow and the MLogic One ecosystem (“the System”), you agree to be bound by these Terms of Service. VFlow is designed as a Revenue Operating System (ROS) exclusively for insurance and investment professionals, financial advisors, and high-end real estate teams.

1. Acceptance of Terms

By using the System, you acknowledge and accept these Terms of Service. If you do not agree with any part of these terms, you may not use the platform.

2. Subscription & The “One-Shot” Free Trial

  • 14-Day Trial: We offer a strict 14-day “One-Shot Trial” providing access to Starter tier features (Sales only), limited to 10 Lead Unlocks and 10 AI Videos. New accounts created through referral or special promotional offers may receive a "Boosted Trial" bringing the total to 15 Lead Unlocks and 13 AI Videos. Recruitment Mode and Manual Video Uploads are disabled for Trial users.
  • Lockdown Policy: This trial is single-use only. Once the 14 days expire, your account enters a permanent INACTIVE state. Canceling a subscription or letting a trial expire permanently resets your eligibility date (internally set to 1970-01-01). A paid plan is required to resume activity.
  • Grace Period & Visibility: If you cancel a paid subscription, you retain access until the end of your billing period. Inactive accounts will show their remaining "Frozen" credit balance for exactly 30 days. Beyond this grace period, balances are reset to zero to enforce a fresh subscription.
  • Automated Billing Protection: To prevent double-billing, joining a Scale Team automatically pauses your personal individual subscription (if any). Billing resumes automatically upon exiting the team.

3. Credits and Billing Cycle

  • Rolling Credit Cycle: Opportunity Radar and VFlow Video generation operate on a 30-day rolling credit cycle, resetting based on your billing date.
  • Shared Credit Pool: Credits are shared globally across the platform. In the Scale tier, all 4 team members consume from the Team Owner's centralized balance. Consumption is tracked in real-time via "Shadowing Logic" across all team dashboards.
  • Fair Search Intelligence: Running global searches is free. For recruitment mode (SignalHire), the System employs "Fair Search" logic: identical searches (Location + Title) by the same user on the same UTC day, or searches yielding zero results, do not decrement the daily search counter. Unlocking a lead to reveal real contact data consumes 1 Lead Credit.
  • AI Video Credits: Generating a personalized video consumes 1 AI Video Credit.
  • Credit Idempotency (Outreach): A credit is only deducted upon the first successful share action (Email Send or "Copy Link") for a unique combination of a video and a project. Subsequent shares of the same video to the same client/recruit do not consume additional credits.

4. Team Management (Scale Plan)

  • Users joining a team workspace under the “Scale” plan are marked as Graduated. Graduated users cannot return to the Free Trial tier.
  • Pause & Resume Automation: Scale Team members with an active individual Stripe subscription will have their billing automatically paused (status: paused) via the System's direct Stripe API integration to prevent dual-charges during their tenure in the team.
  • If you are removed from a team and had no prior paid individual plan, your account instantly reverts to INACTIVE. If a paused personal plan previously existed, the System will automatically re-enable billing to restore your individual access.
  • Moderator Responsibility: The Account Owner (Moderator) assumes full legal and administrative responsibility for the actions, data usage, and compliance of all invited team members within their Scale workspace.
  • Invitation Security: All team access is granted via single-use, secure invitation tokens. Moderators reserve the right to cancel or retract any pending invitation at any time, which immediately invalidates the associated access link for the recipient.

5. Acceptable Use & AI Voice Cloning

  • Voice Cloning Limits: AI Voice Cloning is limited to 30-second recordings. Use is permitted only with your own voice or with explicit, documented consent. Temporary voice clones are automatically overwritten within projects to maintain storage hygiene.
  • Content Restrictions: VFlow is intended to transform presentation files (PPT/PPTX) into educational videos for clients, or personalized career pitches for recruits. Users agree not to use the platform for deceptive, illegal, or unauthorized content generation, including content related to violence, death, illegal acts, or explicit material.
  • Video Optimization & Gallery Limits: For system stability, all manual video uploads are optimized to 720p. Gallery capacity is strictly enforced by tier: Starter (3), Pro (10), and Scale (50). Trial users have no manual upload access.

6. Privacy, Data Retention, and Deletion

  • Data Masking: Lead names, emails, and phone numbers are masked server-side until a credit is spent to reveal them.
  • Permanent Lead Access: Unlocked leads are permanently saved to your “My Unlocked Leads” or "Team Growth" dashboard, accessible even after subscription expiration or video deletion.
  • Auto-Destructing Public Links (Sales): Public video links sent to sales clients self-destruct (returning HTTP 410) after the scheduled appointment date.
  • Recruitment Mode Access: Recruitment features, including the Recruitment Radar and Team Growth video outreach, are exclusive to Pro and Scale plans. Starter and Trial users are restricted to Sales-mode functions only.
  • Recruitment Video Storage: Recruitment outreach videos are stored permanently in Google Drive within the "VFlow Talent" branded ecosystem.
  • Soft Unlinking vs Permanent Deletion: Removing a video from a specific client dashboard (Soft Unlink) does not delete the video from our servers or your Google Drive. Permanent deletion (Hard Delete) is only performed when explicitly requested via the Video Gallery.
  • Cascade Deletions: Deleting a Project purges all associated videos, scheduled appointments, and root folders from our Google Drive infrastructure.

7. Third-Party Integrations

  • Native integrations with Google Calendar and Zoom are available only to Starter, Pro, and Scale plan users. Free Trial users cannot access these integrations until upgrading.
  • Compliance with Google API Policy: VFlow’s use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
  • ZOOM COMPLIANCE: By integrating your Zoom account with VFlow, you authorize the System to create, manage, and delete meeting invitations on your behalf for the sole purpose of scheduling your insurance appointments. You agree to comply with Zoom’s Acceptable Use Policy at all times. VFlow is not responsible for any service interruptions or account issues originating from Zoom’s infrastructure.

8. Account Security and Session Policy

  • Session Duration: To protect your data and active integrations, user sessions are strictly limited to two (2) hours of continuous access.
  • Orange Security Interlock: VFlow employs a proactive security mechanism. If you attempt to logout or your session is about to expire while Google Calendar or Zoom integrations are active, the System will display a fifteen (15) second warning. This interlock prevents users from leaving active API "security bridges" open to third-party services.
  • Automatic Termination: If no action is taken during the warning period, the System will automatically terminate the session and clear local security tokens as a safety precaution.

9. Referral Program and Anti-Fraud Policies

9.1 Referral Rewards

Users on active paid plans (Starter, Pro, Scale) are eligible to participate in the VFlow Referral Program. Rewards are issued in two phases:

  • Signup Reward: A one-time bonus of +5 Lead Credits and +3 AI Video Credits issued when a referred user successfully creates a validated Free Trial account.
  • Upgrade Reward: A one-time bonus of +10 Lead Credits and +5 AI Video Credits issued if and when the referred user upgrades to any active paid plan.

9.2 Ephemeral Links and Rate Limits

To maintain platform integrity, referral links are strictly ephemeral. All active referral codes are globally wiped daily at 00:00 UTC and are valid for a maximum of 24 hours. Furthermore, an active referral link will automatically self-destruct and be removed from the user's account upon reaching the third (3rd) successful signup reward of the day. New links may only be generated if the daily limit has not been reached.

9.3 Identity Verification & Card Authorization

To prevent fraudulent account creation and credit mining (Sybil attacks), all new users registering via a referral link are required to provide a valid payment method. VFlow processes a $0.00 authorization (SetupIntent) via Stripe to verify the card’s validity and uniqueness; no charges are incurred for the duration of the Free Trial unless the user elects to upgrade.

9.4 Strict Anti-Fraud Measures

The use of disposable or temporary email addresses is strictly prohibited. VFlow utilizes Stripe’s unique payment method fingerprinting to identify individual accounts. If the system detects duplicate card fingerprints or other fraudulent patterns associated with multiple accounts, VFlow reserves the right to silently abort, void any associated rewards, and suspend the involved accounts without prior notice or refund.

9.5 No Cash Value

All referral rewards (Lead Credits and AI Video Credits) are promotional in nature, have no cash value, are non-transferable, and cannot be exchanged for currency, credit, or refunds under any circumstances.

10. Disclaimer of Results and Data Accuracy

  • "As-Is" Service: VFlow provides the System and all associated data (including Opportunity Radar leads) on an "as-is" and "as-available" basis. We make no warranties, expressed or implied, regarding the accuracy, completeness, or reliability of professional contact data fetched from third-party providers.
  • No Guarantee of Success: VFlow is a productivity and outreach tool. We do not guarantee any specific business outcome, including but not limited to: email response rates, appointment bookings, successful sales conversions, or recruitment hires. The success of your outreach depends entirely on your own professional practices and communication style.

11. Refund and Cancellation Policy

  • Final Sales: All payments made to VFlow are final. Due to the immediate allocation of digital resources (Lead Credits, AI Video processing power, and API costs), VFlow does not offer refunds, credits, or prorated returns for any subscription fees once the transaction is processed.
  • Cancellation Flow: You may cancel your subscription at any time through the "Manage Plan" (Stripe Customer Portal) link in your dashboard. Upon cancellation, you will not be charged for the subsequent billing cycle and will retain full access to your plan benefits until the end of your current paid period.

12. Zero Tolerance, Illegal Use, and Termination

  • Prohibited Activities: Use of VFlow for deceptive practices, fraud, phishing, harassment, or any activity that violates local, state, or international law is strictly prohibited. This includes, but is not limited to, the generation or distribution of content related to violence, death, illegal acts, or explicit material.
  • Immediate Termination: If the System detects or receives reports of illegal use or violations of our content safety policies, VFlow reserves the right to terminate your account immediately without prior notice. In such cases, all remaining credits and access will be forfeited without any right to a refund, and VFlow may, in serious cases, cooperate with relevant authorities if required.

13. Payment Processing & Financial Data

  • Third-Party Processing: All financial transactions, subscription management, and payment processing are handled exclusively by Stripe, Inc., a third-party payment processor.
  • Financial Privacy: VFlow does not store, see, or process your full credit card numbers or bank account details on our servers. All sensitive financial data is maintained securely within Stripe's infrastructure. Your interaction with the payment system is governed by Stripe's own Terms of Service and Privacy Policy.
